Three routes
1. START system
For Croatian citizens with residence in Croatia. The d.o.o. or j.d.o.o. is formed electronically in one digital place, without a notary.
2. Online court register
Available to Croatian and EU/EEA citizens. The company is formed electronically through the court register. Other steps, such as tax registration and the bank account, are done separately.
3. Notary route
Open to everyone, including non-EU founders. The steps are:
- Company name. Checked in advance against the court register. Several name options can be proposed in the application.
- Founding documents certified by a notary. A founding declaration for a single founder, or a memorandum of association for several founders, plus the registration form and a declaration that there are no unpaid tax debts.
- Share capital paid into a temporary bank account or at FINA.
- Filing with the commercial court, together with proof of the capital payment.
Documents signed abroad
Founders who cannot come to Croatia can often sign before a notary in their own country or authorise a representative. Foreign public documents usually need an apostille (or legalisation, depending on the country) and a certified Croatian translation. We give you the exact list for your case before you start collecting documents.
No provider can promise a fully online formation for every founder. Treat any such claim with caution and ask which route will actually be used.
What every founder needs
